Charter of Mongolian Information Development
Association - NGO
I. General Provisions
1.1 "MIDAS" NGO (hereinafter
referred to as MIDAS) is a non-government and a non-profit
organization with a mission to service the public. It
shall follow the charter and the law of NGOs of Mongolia
and its activities.
1.2 The name of the organization is "Mongolian
Information Development Association"
1.3 Abbreviated name of the organization is MIDAS
1.4 Official english name is Mongolian Information Development
Association or "MIDAS"
1.5 MIDAS shall use an official stationery paper with
official logo, stamp and bank account.
1.6 Date of the charter approval shall be considered
date of MIDAS NGO's formation.
1.7 MIDAS may operate with member-branch offices in
administrative units of the country.
1.8 MIDAS headquarter is located at Room Nos. 423 and
424 of the Science and Information Centre Building,
Ulaanbaatar, Mongolia
1.9 All the activities of MIDAS shall be transparent
including information and financial statements through
its web-sites for the members.
1.10 MIDAS is not responsible for all the damages and
liabilities occurred to other persons and organizations
by the illegal operations of Council members or any
members or any employees of MIDAS.
II. Objectives and Strategic
Goals
2.1 Mission of MIDAS is to create
a well-informed society in Mongolia by:
- increasing the development of all socio-economic sector
of the country
- improving life standards of people on the basis of
developing ICT as one of the most competitive sector
of the economy
2.2 MIDAS will carry out the following activities in
order to implement its objectives:
- conducting researches and surveys on information and
communications technologies and its applications
- organizing training courses, seminars and meetings
- providing consultations and professional assistance
- awarding MIDAS-honoured prize to the year's best performance
in the field of ICT
- assistance to create job places related to IT
- providing ICT professional assistance to the end users
- submitting proposals and drafts of the laws to the
ICT National Committee reflecting ideas and opinions
of its members based on surveys conducted.
- promoting fruitful cooperation with national and international
organizations in the field of ICT
- cooperating with public and private organizations

III. Membership
3.1 Any person or organization either
mongolian or foreign may be admitted for MIDAS membership
by accepting and recognizing its charter and guidelines.
3.2 Membership of MIDAS shall be classified into the
following four categories:
- Honourable
- Acting
- Support
- Donors
3.3 Member organizations shall be classified as large,
medium and small.
3.4 Members shall have different voting rights depending
on their above-mentioned classification. They will have
such privileges as free subscription to magazines, cards
and others upon their possession of their voting rights.
3.5 Member's fee shall be paid according to the procedures
set by the Council.( see Annex 01)
::: Classification of Members
Honourable members:
The Council shall initiate the nomination
of a person to the degree of Honourable Member. The
Council shall deliver the official letter of nomination
to the candidate. The Honourable Members may come from
Members of the Parliament, Ministers, Chairmen of public
and non-governmental organizations and private organizations,
foreign and national individuals who support ICT. The
Honourable Members shall bear the following rights and
obligations:
- To take active part in the activities of MIDAS
- To conduct independent activities compatible with
the charter of MIDAS
- To advertise MIDAS activities
Members:
The members shall be admitted upon filling
up of the application form. Any individuals and organizations
shall be concerned with his/her classification. The
chairmen shall represent their organizations in the
membership of the NGO. The applying organization shall
present their state registration certificate.
Rights and obligations of acting members:
- To submit proposals on any activity-related issues
of MIDAS to the Council
- To have access to any information of MIDAS activities
- To have the right to elect or be elected to the Council
- To initiate , organize and finance a specific activities
of MIDAS
- To get a benefit from information databases created
by MIDAS
- To receive a free subscription of magazines and other
publications published by MIDAS
- To use privilege card of MIDAS for trainings and seminars
and other activities
- To have a priority in participating cooperative activities
such as trainings and projects, among others
- To establish a branch offices with the approval of
the council members
- To assist in gathering source documentations and information
of MIDAS activities
- To pay membership fees promptly.

Support-members
Any organization or individual pursuing
the objectives and purposes of MIDAS may become support-member
upon the submission of the application to the Secretariat
of MIDAS.
Rights and obligations of support-member:
1. To participate in the activities of MIDAS
2. To advocate the objectives and activities of MIDAS
3. To get information from MIDAS
Donors
Any organizations or individuals who support
the NGO financially or in any other forms may be considered
as donors of MIDAS. This includes all the rights and
obligations except the provisions stated in 3, 8, 9,
and 11 of this charter.
IV. Organizational Structure
and Management
4.1 Assembly of the members
- The Assembly of the members is the governing body
of the organization and it shall convene not less than
once every 2 years.
- The Council consisting of 9-15 members shall be elected
by the Assembly with maximum terms of 2 years.
- To define the objectives and strategic plan of MIDAS
- To adopt and make amendments of the charter of MIDAS
- To elect or refuse honorable and council members
- To establish and dissolve auditing board with 3 members
- To discuss and evaluate reports of the council and
auditing board
- To make resolutions within its authority
- All the members may participate in the Assembly session
through on-line
4.2 Council
- Council shall convene its meeting not less than once
every quarter and the members shall be informed 3 days
before the scheduled meeting.
- Council members shall be elected once a year and one
third of the members shall be renewed.
4.3. Chairman, deputy chairman and secretary shall be
elected by the Council's meeting through which all its
authorities are realized.
- The meeting of the Council shall be considered valid
at the presence of more than half of the total members
(quorum) and the decision shall be made by the majority.
- The branch office of MIDAS may be opened in an administrative
unit with not less than 20 members.

The powers of the Council
The council shall delegate all the powers,
strategies and budget to the executive director.
It shall discuss, adopt, evaluate and supervise over
the action plan of MIDAS and the reports of the executive
director and branch offices of MIDAS.
The Council shall accept and reject the formation of
a branch office and set its work guidelines.
1. To establish membership procedures and the amount
of fees
2. To nominate the honourable members of MIDAS
3. To execute all other powers delegated by the Assembly.
Chairman of the Council shall direct the
charter-set mission, objectives and activities of MIDAS.
Chairman shall have the following rights:
- To convene the Council meeting and make resolutions
and recommendations in conformity with the decisions
of the general assembly.
- To represent and conclude agreements on behalf of
MIDAS with national and international organizations
- To coordinate the activities of branch offices
- To announce the open vacancy of the executive director,
organize the selection and make contracts with the executive
director of MIDAS
- To issue an order within its powers.
4.4 Executive Director shall have the
following rights:
- To represent, negotiate and conclude contracts with
national and international organizations with the consent
of the chairman of the Council of MIDAS.
- To manage the administration of MIDAS together with
members and supporters
- To introduce and submit annual plan, budget, and action
plan of MIDAS to the Council.
- To organize informal meeting and other activities
of MIDAS Council.
- To manage the employment requirements of MIDAS.
- To represent and dispose the properties of MIDAS within
the powers delegated by the Council.
- To manage all the financial activities of MIDAS.
- To carry out all the activities in accordance with
the related laws of Mongolia.
The executive Director shall issue resolutions within
its powers.
4.5 Rights and obligations of MIDAS members
1. The honourable member of MIDAS shall
have the following rights and obligations
- To participate in any activities organized by MIDAS.
- To conduct any activities independently as long as
it is compatible and in conformity with the charter
and guidelines of MIDAS.
- To advertise all the activities of MIDAS
Membership of MIDAS shall be classified
as honourable members, members, support-members, and
donor-members.
Members shall divided into large, medium and small categories.
Members shall have different voting rights
depending on the categories.
